Merchant of Record
A Merchant of Record (MoR) is the legal entity responsible for selling goods or services to end customers. The MoR appears on the customer's bank statement, collects and remits sales tax and VAT across every jurisdiction, and assumes full liability for chargebacks, refunds, and regulatory compliance, so you don't have to.
MoR vs. Payment Processor
| Responsibility | Payment Processor | PayNow |
|---|---|---|
| Collect taxes & VAT | ✗ | ✓ |
| File tax returns globally | ✗ | ✓ |
| Cover chargebacks | ✗ | ✓ |
| Regulatory compliance | You | Us |
| PCI DSS compliance | You | Us |
| Refund liability | You | Us |
| Seller payout methods | Bank transfer | ACH, SEPA, PayPal, check & more |
For example, when a customer in Germany subscribes to your SaaS product, PayNow automatically collects German VAT at the correct rate, files a single return under the EU's OSS scheme, and remits the tax to German authorities. If that same customer is in Australia, PayNow handles 10% GST instead. You receive your revenue; we handle the paperwork in every country your customers are in.
You need a MoR if you
- →Sell SaaS, software, or digital goods globally
- →Need VAT, GST, or US sales tax handled automatically
- →Want full chargeback coverage without absorbing the losses yourself
- →Run a game server and sell ranks, items, or subscriptions
- →Want to accept 120+ payment methods without setting up each gateway separately
